  1. INTRODUCTION

 

Welcome to FEDERAL RETAIL HOLDINGS, INC. (“FRHI”, “Company”, “we”, “our”, “us”)!

Our Terms and Conditions (“Terms of Service”) were last updated on September 30, 2024. It will govern your use of our website located at www.federalretail.ph as well as all information, tools, products, and/or services made available to you by this website (“Service” or “Services”). It also set out the rights and obligations of all users regarding the use of the Services. Please read these Terms of Service carefully before using our Services.

Your privacy is important to us at FRHI, and we are committed to safeguarding, preserving, and respecting your privacy rights.The linked data privacy policy (“Data Privacy Policy”) also governs your use of our Service and explains how we collect, use, safeguard, and disclose information that results from your use of our webpages. Your agreement with us includes these Terms of Service and our Data Privacy Policy (collectively, “Agreements”). By accessing or using any part of this Service, you acknowledge that you have read and understood these Agreements and agree to be bound by them.

By using our Services, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing us at fedretail@federalland.ph.

  1. CONTESTS, RAFFLES, PROMOTIONS

Any contests, raffles, or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Data Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, the Promotion rules will apply.

  1. USER ACCOUNTS

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms of Service, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party social media service.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

  1. PURCHASES

If you wish to purchase or avail of any product or service (collectively, “Products”) made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including but not limited to your credit or debit card number, the expiration date of your card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Data Privacy Policy. However, you agree to hold FRHI and/or Federal Land, Inc. and their directors, officers, employees, subsidiaries, affiliates or partners, and agents, free and harmless from any claim, loss or liability arising from the acts, defaults, and negligence of such third parties in facilitating and completing the purchases and/or payments.

We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.

We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.

  1. PRODUCT INFORMATION, DISCLAIMER OF WARRANTIES

 We strive to provide an accurate description of the Products, but we do not warrant that such description, color, information or other content available in the Service are accurate, complete, reliable, current or free from error. The weight, measurements and other descriptions provided in the Service are approximate figures and are provided for convenience purposes only. The colors seen on this Service may differ from the actual color, depending on the device that is used.

We provide these Services on an “as is” and “as available” basis. FRHI makes no representations or warranties of any kind, whether express or implied, as to the operation of these Services or the information, content or materials included therein. You expressly agree that your use of these Services, their content, and any services or items obtained from us is at your sole risk.

Neither FRHI nor any person associated with it makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Services. Without limiting the foregoing, neither FRHI nor anyone associated with it represents or warrants that the Services, their content, or any services or items obtained through the Services will be accurate, reliable, error-free, or uninterrupted, that defects will be corrected, that the Services or the server that makes it available are free of viruses or other harmful components or that the Services, or any services or items obtained through the Services, will otherwise meet your needs or expectations.

  1. LIMITATION OF LIABILITY

Except as prohibited by law, you agree to hold FRHI or FLI, or their directors, officers, employees, subsidiaries, affiliates or partners, and agents, free from consequential, incidental, special, punitive, or exemplary damages of any kind or any other losses or liabilities arising from your use of any of the Service or any Products procured using the Service, or for any other claim related in any way to your use of the Service or any Product, unless such persons are grossly negligent or malicious in the performance of their obligations under the Agreements as determined with finality by a court of competent jurisdiction.

  1. CHANGES TO SERVICE

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users.

  1. AMENDMENTS TO SERVICE

We may amend these Terms of Service at any time by posting the amended terms and conditions on this site, without need of prior notice to the site’s users. It is your responsibility to review these Terms of Service periodically.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms and conditions. You are expected to check this page frequently so you are aware of any changes, as they are binding on you. If you do not agree to the new terms and conditions, you are no longer authorized to use the Service.

  1. RETURN AND EXCHANGE POLICY

 

Customers who purchased items from the SNIDEL and FRAY I.D store at Mitsukoshi BGC and other stores owned and/or operated by FRHI, as well as through this website, may request for return/exchange, provided the following requirements are met:

  1. The request for return / exchange must be made within fifteen (15) days from the date of purchase.
  2. Return / exchange will only be allowed for items still in their original, pristine and unused condition, and shall be accompanied by the original packaging, labels, swing tags, accessories, and the corresponding sales invoice;
  3. In accordance with Republic Act No. 7394 (Consumer Act of the Philippines), its Implementing Rules and Regulations, and other issuances of the Department of Trade and Industry (DTI), the following are not valid grounds for return/exchange:
    • Change of mind (including changes in color preference);
    • Defects caused by misuse or mishandling of items by customer;
    • Discovery of a lower price for the same item at another store;
    • Items that have been intentionally defaced;
    • Items that have been are worn or washed;
    • Items that have been altered in any way;
    • Items with writings, markings, or alterations on the original packaging.
  1. Items selected for exchange must be of equal or greater value than the original item. If the replacement item has a higher value, the customer must pay the price difference. If the replacement item has a lower value, the customer waives the excess amount;
  2. For hygienic and sanitary reasons, intimate apparel or items (e.g. swimsuits, socks, scarves, stockings, accessories, etc.) cannot be returned or exchanged.
  3. We observe a one-time replacement policy for all items.
  4. This policy shall apply to items purchased using gift certificates, vouchers, or on discount. However, refunds shall be limited to the price paid for by the customer.

  6. DAMAGED ITEM POLICY

Items damaged by the customer while handling and trying them on inside the fitting room or elsewhere inside the store will be considered sold, and the customer will be required to pay for the selling price of the items.

Damage to items may include, but are not limited to, the following:

  • Stains;
  • Rips;
  • Tears;
  • Snags;
  • Marks;
  • Signs of mishandling;
  • Deformities;
  • Soiling; or
  • Missing parts or accessories.
  1. GOVERNING LAW

These Terms of Service and the Data Privacy Policy shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Venue of any court action with respect to these Agreements shall exclusively be the proper court of Makati City, Metro Manila, Philippines.

  1. NON-WAIVER

 The failure of FRHI to insist upon a strict performance of any of the provisions of the Agreements shall not be deemed a relinquishment or waiver of any right or remedy that FRHI may have, nor shall it be construed as a waiver of any subsequent breach of the same or other provisions of the Agreements. Any waiver, extension or forbearance of any of the terms, conditions and covenants of these Agreements by FRHI shall be in writing and limited to the particular instance only and shall not in any manner whatsoever be construed as a waiver, extension or forbearance of any other terms, conditions and/or covenants of these Agreements.

  1. SEVERABILITY

 The invalidity or unenforceability of any portion or provisions of these Agreements shall not affect the validity or enforceability of any other portion or provision. Any invalid or unenforceable portion or provision shall be deemed severed from the Agreements.
